Terms of Service

Welcome to BackRoom Realty LLC ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related communications. By using our services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement to use our services. By using our services, you represent that you meet these requirements.

2. Services Provided

We offer real estate marketing and back-office services including, but not limited to: daily Facebook content, monthly flyer design (IOV, Pop-By, Geofarming), Lofty CRM lead nurturing, property management support (rent reminders, tenant communication, Apartments.com payments), and monthly newsletter design and delivery via Mailchimp. Specific deliverables, timelines, and pricing are defined in your signed engagement or service agreement.

3. Engagement & Payment

• Services are billed according to the engagement letter you sign with us. Fees may be flat-rate, retainer-based, performance-based, or hourly.
• Invoices are due on the date specified. Late payments may incur a 1.5% monthly interest charge.
• Unless stated otherwise, engagements are month-to-month after the initial onboarding period.

4. Client Responsibilities

• You agree to provide accurate, timely information needed to perform the services.
• You are responsible for legal compliance regarding your own marketing lists, contracts, and real estate transactions.
• You agree not to use our services for illegal, harassing, or fraudulent activity.

5. TCPA & Marketing Compliance

Our outreach services follow Telephone Consumer Protection Act (TCPA) and CAN-SPAM best practices. You acknowledge responsibility for ensuring that any contact lists you provide to us comply with applicable laws. Indemnification for non-compliant lists provided by you is described in Section 9.

6. Intellectual Property

All proprietary content, methodologies, scripts, templates, and workflows we create remain our intellectual property unless explicitly transferred in writing. You receive a non-exclusive license to use deliverables for your real estate business.

7. Confidentiality

Both parties agree to protect confidential information shared during the engagement and not to disclose it to third parties without consent, except as required by law.

8. Disclaimers

Our services are provided "as is." We do not guarantee specific deal volume, revenue, or business outcomes. Real estate results depend on many factors outside our control, including your markets, pricing, follow-up speed, and team execution. The performance examples shown on our website are illustrative, not guarantees.

9. Limitation of Liability & Indemnification

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or our services is limited to the fees you paid us in the 3 months immediately preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. You agree to indemnify and hold us harmless from claims arising out of (a) data or lists you provide that violate law, (b) your real estate transactions, or (c) your breach of these Terms.

10. Termination

Either party may terminate an engagement with 14 days' written notice. We reserve the right to suspend services immediately for non-payment, breach, or illegal activity. Fees earned through the termination date remain due.

11. Refunds

Because services involve dedicated staffing, software, and labor, fees are non-refundable once work has begun, except as expressly stated in a written guarantee provided to you. The 30-Day Promise described on our website applies only when all client responsibilities (timely access, brand assets, approvals) are met.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Disputes will be resolved through binding arbitration in Delaware, except where prohibited by law.

13. Changes to Terms

We may update these Terms periodically. Material changes will be communicated by email or website notice. Continued use of our services after changes constitutes acceptance of the updated Terms.

14. Entire Agreement

These Terms, together with any signed engagement letter and our Privacy Policy, constitute the entire agreement between you and BackRoom Realty LLC regarding your use of our services.
